Terms of Service

These Terms of Service ("Terms") govern your use of the SociaList platform (the "Service") operated by Amir Reifer, a sole proprietor ("Osek") based at Hamishna 32, Tzipori, Israel ("we", "our", or "us"). By accessing or using the Service, you agree to be bound by these Terms.

1. Accounts

You must create an account to use the Service. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must provide accurate and complete information when creating your account.

The Service supports two account types:

  • Small Business Owner (SBO): For businesses seeking to promote themselves with creator videos.
  • Creator: For content creators who want to make brand videos.

2. Eligibility and Minimum Age

The Service is intended solely for users who are at least 18 years old. By creating an account, making a purchase, or paying for a video through the Service, you confirm that you are 18 years of age or older. Purchasing through the Service requires being 18 years or older.

We may suspend or terminate accounts that we reasonably believe belong to anyone under 18, and we may request proof of age at any time.

3. Creator Accounts

As a creator on SociaList, you agree to:

  • Provide truthful profile information, including your bio, location, and content niches.
  • Connect authentic social media accounts that you own and control.
  • Not misrepresent your follower counts, engagement metrics, or audience demographics.
  • Fulfill video deliverables as agreed upon with businesses.
  • Comply with all applicable advertising disclosure requirements (e.g., FTC guidelines).

4. Business Accounts

As a business on SociaList, you agree to:

  • Provide accurate business information.
  • Set fair and transparent terms, including budget and deliverables.
  • Pay for videos through SociaList, which acts as the merchant of record for the transaction.
  • Honor the agreed budget and performance-based payout terms for each video.

5. Videos and Payments

Videos on SociaList operate on a performance-based model. Key terms:

  • Budget: The maximum amount a business is willing to pay for a video.
  • Performance metrics: Payouts are calculated based on actual content performance (views, engagement) measured during a fixed performance window.
  • Payout calculation: Creator payout is pro-rated based on actual reach achieved relative to the target: payout = min(actual_views / reach_target, 1.0) × budget.
  • Performance window: The measurement period begins when content is published and lasts for the agreed duration (default 7 days).

Merchant of record. SociaList acts as the merchant of record for transactions on the Service. The business purchases the video through SociaList, and SociaList pays the creator the amount due under the payout calculation above. SociaList is the seller of record and is responsible for collecting payment from the business and remitting any applicable taxes.

SociaList does not provide an escrow service and does not hold funds in trust or as a deposit for either party. The business is never charged more than the budget it sets, and the final amount payable is determined by the performance-based payout calculation once the performance window closes.

6. Service Delivery

SociaList is a digital service. No physical goods are sold or shipped through the Service, and no shipping fees apply.

  • What is delivered: a promotional video created by the creator and published on the agreed social platform (YouTube, Instagram, or TikTok), together with performance tracking and reporting in your SociaList dashboard.
  • When it is delivered: the creator publishes the video by the schedule agreed in the campaign; performance results are delivered continuously in your dashboard during the performance window (default 7 days) and finalized when the window closes.
  • How it is delivered: digitally, through the Service and the connected social platform. Nothing is delivered by post or courier, and no delivery charges apply in any region.

We are not liable for delivery delays caused by the creator or by outages or policy changes of third-party platforms. Your payment remains protected: if a video is not delivered, the campaign can be cancelled and refunded as described in Section 7 (Cancellation and Refunds).

7. Cancellation and Refunds

This section describes how a business may cancel a paid video campaign after purchase and how refunds are handled.

Cancellation before the video is published

You may cancel a campaign at any time before the creator publishes the video and receive a full refund of the amount paid. Cancellation is done from the campaign page in your dashboard, or by contacting us at [email protected].

Cancellation under the Israeli Consumer Protection Law

Where the Israeli Consumer Protection Law, 5741-1981 applies to your purchase, you may cancel a distance-selling transaction within 14 days of the date of the transaction or the date you received the transaction details document, whichever is later, provided the cancellation is made at least 2 business days before the date the service is due to begin. In such cases we may charge a cancellation fee of up to 5% of the transaction amount or 100 NIS, whichever is lower, as permitted by law. Nothing in these Terms derogates from your rights under that law.

After the video is published

Once the video is live, the performance-based payment model in Section 5 applies: you pay only for actual performance achieved, and any unused budget is refunded to you automatically after the performance window closes.

How refunds are issued

Refunds are credited to the original payment method within 14 days of the cancellation.

8. Third-Party Platform Integration

The Service integrates with third-party platforms including YouTube, Instagram, and TikTok. By connecting these accounts, you:

  • Authorize us to access your public profile information and content analytics via their APIs.
  • Acknowledge that your use of these platforms is also governed by their respective terms of service.
  • Understand that you may disconnect these accounts at any time from your profile settings.

We are not responsible for changes to third-party platform APIs, policies, or availability that may affect the Service.

9. Prohibited Conduct

You may not:

  • Use the Service for any unlawful purpose.
  • Create fake accounts, use bots, or artificially inflate metrics.
  • Manipulate engagement metrics on connected social media platforms.
  • Circumvent the platform to arrange deals outside the Service to avoid fees.
  • Harass, abuse, or threaten other users.
  • Scrape, crawl, or use automated means to access the Service without permission.
  • Upload content that is illegal, harmful, or infringes on intellectual property rights.

10. Intellectual Property

The Service and its original content (excluding user-generated content) are owned by SociaList and protected by applicable intellectual property laws. Creators retain ownership of their content; by posting content through SociaList, creators grant businesses a limited license to use the content as specified in the agreement.

11. Limitation of Liability

To the fullest extent permitted by law, SociaList shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amounts paid by or to you through the Service in the 12 months preceding the claim.

12. Dispute Resolution

In the event of a dispute between a business and a creator, SociaList may, at its discretion, mediate the dispute. We reserve the right to make final decisions regarding payouts in disputed cases. Users agree to attempt to resolve disputes through the platform's dispute resolution process before pursuing other legal remedies.

13. Account Termination

We reserve the right to suspend or terminate your account at any time for violations of these Terms. You may delete your account at any time. Upon termination, any pending video obligations must still be fulfilled or properly cancelled.

14. Changes to These Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page. Your continued use of the Service after changes are posted constitutes your acceptance of the modified Terms.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Israel, without regard to its conflict of law principles. The competent courts of Israel shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.
